Terms and Conditions

1. Acceptance of Terms

By accessing and using The Navigator ("Service"), operated by McDuck Ventures, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms and Conditions, please do not use this Service.

2. Description of Service

The Navigator provides real-time inventory tracking and location services for warehouse products. The Service allows users to:

• Search for product availability by ZIP code and radius
• View inventory levels at participating warehouse locations
• Export location data in KML format (Plus subscribers only)
• Receive automated restock alerts via email (Plus subscribers only)
• Access RestockIQ analytics and predictions (Plus subscribers only)

3. Account Registration and Subscription

3.1 User Accounts

To access certain features of the Service, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3.2 Subscription Plans

The Navigator offers two subscription tiers:

• Basic Plan ($19.99/month): Includes 2 searches per day and 2 saved ZIP codes
• Plus Plan ($29.99/month): Includes 5 searches per day, 5 saved ZIP codes, KML Export, Autocheck alerts, and RestockIQ analytics

3.3 Billing and Payment

Subscription fees are billed on a monthly recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable subscription fee. Subscriptions automatically renew unless canceled before the renewal date.

4. Service Usage and Limitations

4.1 Search Limits

Daily search limits reset at midnight Eastern Time. ZIP code slots must be reset manually by contacting our support team to prevent account sharing.

4.2 Data Accuracy

While we strive to provide accurate and up-to-date inventory information, we cannot guarantee the real-time accuracy of all data. Warehouse inventory is updated hourly by individual locations. We are not responsible for discrepancies between displayed inventory and actual warehouse stock.

4.3 Prohibited Use

You agree not to:

• Share your account credentials with others
• Use automated scripts, bots, or scraping tools to access the Service
• Attempt to circumvent usage limits or restrictions
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code from the Service

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by McDuck Ventures and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

6. Privacy and Data Collection

Your use of the Service is also governed by our Privacy Policy. We collect and use your personal information as described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through the "Manage Plan" link in your account or via our billing portal. Cancellation will be effective at the end of your current billing period.

7.2 Refund Policy

If you are not satisfied with the Service or discover that your area is not restocking, please contact us for a refund. Refund requests are evaluated on a case-by-case basis and typically processed within 5-7 business days.

8. Service Modifications and Termination

8.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

8.2 Account Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions. Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will function uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MCDUCK VENTURES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11. Indemnification

You agree to defend, indemnify, and hold harmless McDuck Ventures and its licensees and licensors, and their employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service or violation of these Terms.

12. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by McDuck Ventures. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such content, goods, or services.

13. Geographic Restrictions

The Service is controlled and operated from the United States. We make no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the award may be entered in any court having jurisdiction.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Waiver

No waiver by McDuck Ventures of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and McDuck Ventures regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
